You’ll find most of the information you need about my service on this website, however, if you are visiting this for the first time, have never used my service before, or simply have some questions, browse through these Faq’s to find answers to the most commonly asked ones or simply give me a call, I’ll be happy to answer any questions you may have.

When You’re Buying

How important is confidentiality?

From the first meeting until you sell, everything is treated as highly confidential. Your business details stay with me. No one else gets to see anything. As far as dealing with potential buyers, I won’t discuss anything pertaining to your business before they sign a Confidentiality Agreement.

 

Once I have the signed CA I then send out a One-Pager which basically says what type of business it is, and also gives the basic size and financial status of the business. The potential buyer still does not have any idea of the location, name or any other facts that may point to the business itself. Once they have come back expressing further interest then I meet with them (if they are local) and having checked them out before our meeting I then take them through the Information Memorandum of the business. You will know whom I am meeting with and before I do so you will have the opportunity to add further requirements if necessary, in case they are known to you or are your opposition, etc. Before any information is handed out or ads placed you will see them first and sign them off. At no stage will any information be given that you have not prior approved.

How much information is provided in the Information Memorandum?

The IM gives the buyer the story of the business, where it is at and provides an appraisal and how we got to the sale price. It also mentions the future potential and growth possibilities. What it doesn’t do is disclose any sensitive information – such as pricing, cost details, or any IP. Again you the seller would have signed it off before I show it to the potential purchaser.

How long does a Sale take?

At LINK we work on an average of 6 months. However that can vary greatly – I have sold a business in one week. This is something we will discuss prior to engagement. It does depend on the type of business and the sector it is in. It also depends largely on the preparation and the story we tell of the business.

As a seller when do I commit to working with you?

We will have a few meetings before either of us decide to work together. I will need to get a good understanding of the business and do an appraisal. If you like what I say and agree with the workup then and only then do we commit to go further. You will then sign an Authority to Act which is a legal document that provides me with permission to sell your business. You will get a copy of this at our first meeting – so you will have time to go through the documentation long before signing anything.

What is expected of me?

From the beginning through to the end of the process, we will work together and our relationship is paramount to a successful sale. You want the best outcome possible and I need to get as much information as possible because I need to present the business in the best possible light and answer potential purchaser’s questions. Along the way different buyers will ask other questions so it is possible that I may come back asking for more specific detail from time to time. We need to keep the Information Memorandum updated at all times. Communication is so important to enable me to achieve the best result.

Why should I use a Broker?

We sell businesses all the time. I specialise in 2 main areas – Manufacturing and Import / Distribution. I have done this for 10 years.

 

As a business owner you need to keep concentrating on your business, I will do everything that needs to be done for the sale of your business. Taking your eye off the business and answering calls and queries takes up a lot of time. In addition when a seller advertises via a Broker people know they are dealing with a professional and as such they also have comfort knowing that the business is of such a standard that they are employing an expert who will have certified all the information presented. Buyers also are wary of businesses that try and go it alone – they are often suspicious and then become real cautious.

 

Purchasers also know when dealing with the Owner of the business they can negotiate more and drive the price down. Whereas with a Broker they know they are at arm’s length and cannot negotiate freely about the value.

 

After all the years that an owner puts into their business why waste the return? It just doesn’t make sense.

How important is it for you to interact with my accountant and solicitor?

Extremely so. In fact I strongly advise that I meet with them prior to the sale and that we work together throughout the process as required. Obviously I will get your permission before speaking with them. The solicitor should get involved further down the track but working with the accountant during the process (as required) is really important.

What outcome can I expect?

It also takes in to account the risk assessment of your particular business – something that is imperative when setting the price for the sale and this also gives the buyer comfort as it is one of the key questions they always ask.
